Articles of Incorporation

  • I. NAME

    • The Chhé'ee Fókaa Band of Northeastern Pomo

  • II. PURPOSES

    • This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for charitable purposes. The purposes for which this corporation is formed are exclusively charitable within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986.

    • Preserve the culture, traditions, and sacred sites of the Chhé'ee Fókaa People. Including but not limited to:

      • Receipt of land donated by landowner of our ancestor’s burial ground

      • Receipt and acquisition of land sites inhibited by our ancestor

      • Preservation of land and sites and promotion of stewardship and management of land or land near sites affiliated with the tribe (i.e. Salt Flats, Burial Grounds, Village Sites, etc.)

      • Preservation of historical, sacred, ceremonial and burial sites,

      • Preservation of historical and sacred artifacts (tools, belts, baskets, etc.)

      • Preservation of dances and songs, etc.

      • Preservation of regalia, religion, folklore (Kuksu Cult), etc.

  • V. LIMITATION ON CORPORATE ACTIVITIES

    • The general powers of the corporation are to have and exercise all rights and powers conferred on nonprofit corporations under the laws of California, including the power to contract, rent, buy, or sell personal or real property, provided, however, that this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the primary purposes of this corporation.

    • Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities not permitted to be carried on (1) by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code or (2) by a corporation contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code, or the corresponding provisions of any future statute of the United States.

    • No substantial part of the activities of this corporation shall consist of carrying on propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate or intervene in any political campaign (including the publishing or distribution of statements) on behalf of any candidate for public office.

  • VII. DEDICATION AND DISTRIBUTION OF ASSETS

    • The property of this corporation is irrevocably dedicated to charitable purposes and no part of the net income or assets of this corporation shall ever insure to the benefit of any director, officer, or member thereof or to the benefit of any private person.

    • Upon the dissolution or winding up of the corporation, its assets remaining after payment, or provision for payment, of all debts and liabilities of this corporation shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable purposes and which has established its tax exempt status under Section 501(c)(3) of the Internal Revenue Code.

    • If this corporation holds any assets in trust, or the corporation is formed for charitable purposes, such assets shall be disposed of in such manner as may be directed by the decree of the superior court of the county in which the corporation has its principal office, upon petition therefore by the Attorney General or by any person concerned in the liquidation, in a proceeding to which the Attorney General is party.

    • Any land held by this corporation upon dissolution shall be transferred to a non-profit, public benefit corporation, where it will be held in perpetuity for the benefit of the descendants of the Ché'ee Fókaa Band of Northeastern Pomo.
